Chief Terms of Service.

These Terms govern your use of Chief, a personal AI chief of staff. They cover Chief's websites, applications, integrations, AI-powered workflows, and the messaging channels (including SMS and MMS) Chief uses to take direction from you and to deliver the responses, briefings, and notifications you ask for.

1. The Services

Chief Labs LLC ("Chief," "we," "us," or "our") provides Chief, a personal AI chief of staff that takes direction from you, organizes information across the accounts and sources you connect, and responds to your requests with drafts, briefings, replies, reminders, and other workflow output. Chief includes related websites, applications, integrations, and messaging channels (collectively, the "Services").

These Terms of Service ("Terms") form a binding agreement between you and Chief governing your access to and use of the Services. By creating a Chief account, joining a waitlist, opting in to receive messages from Chief, or otherwise using the Services, you agree to these Terms and to the Chief Privacy Policy.

2. Eligibility and Accounts

  • You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. The Services are not directed to children under 13.
  • You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
  • You agree to provide accurate and current information when creating an account, joining a waitlist, opting in to messaging, or contacting support.
  • You may not use the Services if you are prohibited from doing so by applicable law, sanctions, or export controls.

3. Your Content

You retain ownership of the content, files, messages, and data you provide to the Services or that the Services process on your behalf ("Your Content"). You grant Chief a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content solely as needed to provide and improve the Services for you, including through third-party infrastructure and model providers described in the Privacy Policy.

You represent that you have the rights and permissions needed to provide Your Content and to authorize Chief to process it. You are responsible for the lawfulness of Your Content and for complying with any third-party terms that apply to the connected accounts, sources, or recipients involved.

4. Acceptable Use

You agree not to use the Services to:

  • Violate applicable law, including telecommunications, anti-spam, consumer-protection, and privacy laws (such as the TCPA, CAN-SPAM, GDPR, and CCPA/CPRA).
  • Send unsolicited, fraudulent, deceptive, harassing, threatening, or unlawful messages, including through SMS, MMS, RCS, WhatsApp, email, or other channels.
  • Send messages that include content prohibited by carrier or messaging-platform rules, such as illegal drugs, sex work, firearms, hate speech, malware, phishing, or gambling content where prohibited.
  • Attempt to access, probe, or disrupt the security or integrity of the Services, the underlying infrastructure, or any third-party system the Services interact with.
  • Reverse engineer, decompile, scrape, or use automated tools against the Services except where expressly permitted.
  • Impersonate any person or entity, misrepresent your affiliation, or use the Services to mislead recipients about the origin or purpose of a message.
  • Use the Services to develop, train, or improve a product that competes with Chief.

5. SMS and Text Messaging Terms

SMS and MMS are one of the channels you can use to talk to Chief and to receive the responses and notifications you ask Chief to deliver. Chief SMS is request-driven: it works in response to you. Chief does not send unsolicited messages, broadcast promotions, or text users out of the blue. These SMS Terms supplement and form part of these Terms.

  • Program: Chief personal AI chief of staff messaging from Chief Labs LLC.
  • Opt-in: You opt in to Chief SMS by (a) providing your mobile number when you sign up, join the waitlist, or update your Chief account settings, (b) initiating a text conversation with Chief, (c) asking Chief to send you a specific notification, briefing, reminder, or alert, or (d) replying START or UNSTOP after a prior STOP. Each is an explicit request, including the use of automated systems where applicable. Chief does not send SMS to numbers that have not opted in.
  • Message types: (1) Conversational replies to messages you send Chief; (2) account-security messages such as verification codes and login alerts; and (3) notifications, briefings, reminders, and alerts you have explicitly asked Chief to deliver (for example, 'send me a morning briefing,' 'remind me when X happens,' 'page me if Y'). Chief does not send unsolicited or marketing messages today; if that changes, Chief will obtain separate opt-in consent before sending any marketing message.
  • Message frequency: Determined by what you ask Chief to do. If you don't message Chief and don't have any standing notification requests, Chief won't text you. Active users who chat with Chief and maintain standing requests may receive several messages per day.
  • Carrier charges: Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
  • HELP: Reply HELP at any time to receive a help response with Chief's contact information and a link to the Privacy Policy. You can also email help@runchief.ai.
  • STOP: Reply STOP (or CANCEL, END, QUIT, UNSUBSCRIBE) at any time to tell Chief to stop sending all SMS/MMS to your number. You will receive one confirmation message and no further SMS/MMS, except as required to confirm your opt-out or to comply with applicable law. Reply START or UNSTOP to opt back in. You can also ask Chief in conversation to stop a specific notification or thread without disabling SMS entirely.
  • Supported carriers: Major U.S. carriers (AT&T, T-Mobile, Verizon, US Cellular, and others). Carrier support and message delivery is not guaranteed; carriers are not liable for delayed or undelivered messages.
  • Sharing: Chief does not sell or share mobile phone numbers, opt-in records, or SMS/MMS message content with third parties for their own marketing purposes. Mobile information and opt-in data are not shared for cross-context behavioral advertising. See the Privacy Policy for full details on how Chief handles message content.
  • Your representation: By opting in, you represent that you are the subscriber or authorized user of the mobile number you provide. You must notify Chief if you change or relinquish that number so Chief can stop sending messages to a number that's no longer yours.

6. Connected Services and User-Directed Actions

Chief integrates with third-party services (such as email, calendar, document, messaging, and browser-based services) at your direction. When you ask Chief to draft, send, reply, schedule, edit, message, or automate a workflow, Chief may act on the relevant connected service on your behalf. You are responsible for the actions you direct Chief to perform and for complying with the terms of those connected services.

7. Intellectual Property

Chief and its licensors retain all right, title, and interest in and to the Services, including the underlying software, models, designs, trademarks, and documentation. Except for the limited rights expressly granted to you in these Terms, no rights are granted by implication, estoppel, or otherwise.

Feedback you provide about the Services is non-confidential, and Chief may use it without obligation to you.

8. Fees

Some features of the Services may require payment of fees, which Chief will describe to you before you incur them. Fees are non-refundable except where required by law or expressly stated by Chief. You are responsible for any taxes that apply to your use of paid features.

9. Disclaimer of Warranties

THE SERVICES, INCLUDING ANY AI-GENERATED OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIEF DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Chief does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, that AI-generated output will be accurate or suitable for any particular purpose, or that messages sent through any channel will be delivered.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CHIEF NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF CHIEF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL CHIEF'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID CHIEF FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Chief and its affiliates, officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Your Content, (b) your use of the Services, (c) any messages or workflows you direct Chief to send or carry out, or (d) your violation of these Terms or applicable law.

12. Termination

You may stop using the Services at any time. Chief may suspend or terminate your access to the Services if you violate these Terms, if required by law, or if Chief discontinues a feature. Sections that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The state and federal courts located in King County, Washington have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

Chief may update these Terms from time to time. If we make material changes, we will provide notice as required by applicable law, including by updating the date above and, where appropriate, through the Services. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
